For my money I'd just get the memory (64 mb is plenty,
32 would do). Forget the cpu upgrade, 66 486 is
plenty fast for what you want. Modem, maybe, but for
most things 28.8 is fast enough unless you (your friend)
receive a lot of graphics in email; for browsing you
will find more web delays than local modem delays.

My daughter uses a 486 66 with 24 mb (Win 95)
for browsing, email, and lot's of other things.
With a 9.6 modem! I admit that's a bit slow
for browsing, but not as bad as you might think.
It's plenty for email.

I am agree with Spots. I vote for 32 MB RAM. A 28K modem is OK too. If you go faster you will have to address X2 vs KFLEX technology. Some ISPs have one and some ISPs the other. Some modems are compatible with both.

I would consider a larger harddrive. You need room for the swap file to work. If you are riding around on almost full you will suffer a performance hit. Older machines do not have native support for harddrives bigger than 500 MB. There are workarounds.
