LITTLETON, Colo. (Dow Jones)--EchoStar Communications Corp. (DISH) signed agreements to acquire certain assets from News Corp. (NWS) and MCI Worldcom Inc. (WCOM).

In a press release Monday, EchoStar said it will acquire a direct broadcast satellite uplink center in Gilbert, Ariz; the license to operate high-powered DBS business at the 110 degrees West Longitude orbital location consisting of 28 frequencies; and two Loral-built satellites currently under construction.

EchoStar also will receive a worldwide license agreement to manufacture and distribute set - top boxes internationally using NDS encryption/decoding technology; and a three-year retransmission consent agreement for DISH Network to rebroadcast Fox Network local station signals to their respective markets.

In the transaction, EchoStar will issue 24 million newly issued Class A common shares to News Corp., and 5.97 million newly issued Class A common shares to MCI Worldcom. The newly issued shares represent 37% of EchoStar's fully diluted equity.

In addition, EchoStar agreed to carry the Fox News Channel on DISH Network.

MCI received the non-exclusive right to bundle EchoStar's DBS service with MCI's telephone service.

EchoStar's set - top box distribution agreement also includes a minimum 500,000-unit purchase commitment by an affiliated entity of News Corp.

The two satellites acquired by EchoStar in the transaction are scheduled for launch in 1999. News Corp. will pay for building, launching and insuring the satellites.
