Lernout & Hauspie May Cut Research Charges Under SEC Pressure

Burlington, Massachusetts, Dec. 1 (Bloomberg) -- Lernout &
Hauspie Speech Products NV said it may have to reduce charges for
in-process research-and-development, under pressure from U.S.
regulators, for acquisitions completed as far back as 1996.

Lernout, which makes software that responds to the human
voice, said the U.S. Securities and Exchange Commission is
reviewing its purchases of Kurzweil Educational Systems Inc. in
September and Tiksoft LLC in October. Some of the SEC's concerns
also stem from Lernout's calculations of research-and-development
charges for acquisitions dating back two years. Lernout didn't
disclose the number or names of acquisitions that the SEC is
scrutinizing.

Brussels-based Lernout said it ''adjusted'' its write-offs
for research-and-development expenses for acquisitions that it
made in the third-quarter. Company officials weren't immediately
available for comment. The company said in its press release that
it couldn't predict the outcome of the SEC review.

The SEC has been cracking down on companies that
artificially boost their profits by overvaluing research acquired
when they take over other companies. The practice has allowed
companies to take huge one-time earnings charges, rather than
having to spread out charges over periods that can stretch for
decades.

Lernout, which has offices in Burlington, Massachusetts,
fell 1/2 to 40 in U.S. trading.

Intel acquires [Online Merchant competitor] iCat.

Intel acquires e-commerce developer

Intel Corp. said it has agreed to acquire iCat Corp., a developer of e-commerce software. iCat is privately held and has been the subject of speculation about its future. Last week, a company spokesman denied staff layoffs had occurred. Seattle-based iCat provides e-commerce software and services which aid in the creation of Web-based storefronts that include secure transaction processing capabilities. A spokesman for Intel cbs.marketwatch.com E=htx/http2_mw called the purchase of iCat "consistent with our efforts to explore new business opportunities over the past few years." Terms of the deal were not disclosed.
