As one of the anyones, it seems important to get this done in this tax year. Don't forget to read the prospectus, as not only do I drool on my keyboard, but I forget things. The change involves a sale of assets based on accountants fair value. This sale of assets generates a potential tax liability for the capital gain incurred in the sale of assets. Remember patents are assets also.

Now, if XOMA in future years is a company producing revenues, from sales, partnerships, license agreements and etc. then it will have more assets and changing domicile becomes less attractive or costly. You can see why a company like General Motors is still domiciled here.
