would existing shareholder receive anything?

Our telephone provider here in Cincinnati is spinning off part of it's operation. Under that agreement, shareholders would receive 1 share of the "spin-off" for every share of the parent company. Here is the catch. The parent company would then begin trading at some reduced rate. In other words, the sum of the two, parent and spin-off, would equal what the old parent did.
