Rival Receives Offer to Buy Company, Hires Advisor
here's the RIVL news story:

Kansas City, Missouri, Nov. 27 (Bloomberg) -- Rival Co. said it received an unsolicited offer for the maker of Crock-Pot and Pollenex products from an unidentified buyer and hired a financial advisor to help it evaluate the bid.

Kansas City, Missouri-based Rival, whose sales rose less than 1 percent to $376.9 million in the year ended June 30, didn't give the amount of the offer. Rival retained NationsBanc Montgomery Securities LLC to assist it in discussions regarding the possible sale.

The company said it was responding to market rumors and an increase in its stock price Wednesday, when shares rose 3 1/2, or 47 percent, to 10 7/8. At Tuesday's close, shares had fallen 58 percent to 7 3/8 from a 52-week high of 17 27/32 on April 14.

Today Rival fell 15/16 to 9 15/16. Company officials weren't available for comment.

In August, Rival, which makes appliances under the Pollenex and Simer names as well as industrial pumps and fans, said it planned to close two plants and two distribution centers to cut costs and it was taking $7.5 million in pretax charges in the fiscal year beginning July 1 to pay for the closings.
