Robin:

Stockholders of RNTK had some of the same concerns with RNTK's convertibles (actually these were preferreds but the concept was the same). They still have a bunch of preferreds authorized but w/ $3MM in bank are saying the same thing as JAWZ (i.e., we do not see the need to access the funding anytime soon and it is just a safety net). The presence of these preferred, while causing quite a ruckus on the thread have not seemed to hurt the stock price. The only time the stock price has dropped in relation to these preferreds is when RNTK has sold them, they have been converted and have diluted existing shares.

As long as JAWZ has control over when the convertibles are exercised, has cash in bank and they either get increased revenues soon or more traditional funding, they should be alright. Just something to keep an eye on. Check the status of the convertibles with each 10Q, that is what we are doing with RNTK and it seems to be adequate. Also, watch for high volume days with no news and little price movement - that COULD be a sign of convertibles being exercised (they look like buys on L2 I believe).

FWIW,

Eric
