I am also particularly leery of Preferred shares in a bbs stock. The types that buy (particularly convertible preferred) preferred stock in these companies take a large bite. I need to see some financial statements and a business plan before I vote yes.

How many shares are issued at this time? I have heard several numbers thrown out but I've never received any correspondence from the company to verify.
