I'm a little confused...

If UBID is trading at +/- $50 and each MALL share will get 72% of UBID, MALL should be priced at $36. And that doesn't include any current intrinsic value to MALL.

Why the discrepancy? Downside risk has to be pretty minimal in the high twenties.

I think the reason MALL is down (or trading at a discount to UBID) is that people don't expect the UBID price to hold.

UBID has a much smaller float, and many who got in on the IPO are not flipping for fear of being cut out of future IPOs. That will change, and once MALL lets go of the UBID shares, there will be a much larger float, putting downward pressure on the price.
