It maintained a "neutral" rating on Sylvan. Bear Stearns' accounting and taxation group found three major concerns with Sylvan's books: acquisition accounting that would cause Sylvan to miss earnings expectations; the use of off balance-sheet marketing funds; and Sylvan's relationship with the Caliber Learning Network.
