From: Form SC 13D for SAFE TECHNOLOGIES INTERNATIONAL INC filed on Feb 18 1998 (b) Capitalization. The authorized capital stock of Safe Aid consists of 950,000,000 shares of $.00001 par value Common Stock, of which 705,477,200 shares are outstanding as of the date of this Agreement. Prior to Closing, Safe Aid shall complete a 10 to 1 reverse stock split pursuant to which the number of outstanding shares will be reduced to 70,547,720 as of Closing with no change to the par value of the Common Stock, and shall increase its authorized Common Stock to 999,999,000 shares. All of the outstanding shares of Common Stock have been validly issued and are fully paid and non-assessable.
