Directors and Executive Officers:
Karl M. Sjögren
is the Company's Chairman of the Board, Chief Executive Officer and President. He has 18 years experience in financial management with both start-ups and established companies. Since 1990, he has been an independent consultant providing Chief Financial Officer services for start-ups and established Silicon Valley companies in a broad variety of industries. For seven months, he was Chief Financial Officer (1995) and a member of the Management Committee for Zapit Technology, Inc., a toxic waste destruction start-up requiring a turnaround. He was President and co-founder of a software start-up, Critical Path Systems (1994) and served in senior financial positions with several companies including, Dynabook Technologies (Corporate Controller and Director of Accounting; 1989-90) and DSC Communications Corporation (Corporate Controller at Nestar Systems subsidiary and Group Controller at Granger Associates subsidiary; 1986-89). Prior to moving to the San Francisco Bay area in 1983, Mr. Sjögren worked for Gould, Inc. (Divisional Manager of Planning/Analysis and Corporate Audit Staff: 1978-83) and Ford Motor Company (1977). Mr. Sjögren has a BA in Business Administration (1975) and a MBA in Finance (1976) from Michigan State University and has passed the Certified Public Accountant examination (1980) in Illinois.
The California Capital Access forum and the San Jose Mercury News have published Mr. Sjögren's articles on the capital formation process. As FairShare's CEO, he has also been featured in articles published in Financial Services On-Line magazine, Investment Dealers Digest and the Interactive Edition of the Wall Street Journal.
Michael C. Hill
is a Director and the Company's Secretary. An attorney in private practice in Gulf Port, Mississippi, Mr. Hill has significant expertise in franchise law and has nearly 20 years of practical experience in the marketing and administration of nationwide franchise operations. Prior to entering private practice in 1989, Mr. Hill served as corporate counsel for Coldwell Bankers Residential Affiliates, one of the nation's largest real estate franchise companies. He has advised other franchise systems such as Mail Boxes, Etc. Inc., (where served as General Counsel) on legal and business matters and has owned or operated several franchises himself. Mr. Hill received his JD from the University of Mississippi (1971) and his BS from the University of Southern Mississippi (1977).
Hans H. Morkner
is a Director of the Company, its Vice President of New Ventures Development and Treasurer. He has more than 25 years experience in information technologies, particularly in the area of strategic planning and development of large applications using database management systems for data storage. Mr. Morkner worked for 20 years at IBM and held various senior management positions. After leaving IBM in 1986, Mr. Morkner became President of Codd & Date Consulting Group and later president and CEO of Digital Consulting Group. Since 1990, Mr. Morkner has acted as General Partner and Managing Director of Havon Funding, a small Silicon Valley venture capital firm. Mr. Morkner has served as a member of the Management Committee for Zapit Technology, Inc. (1995) and as CEO of Zapit Technology International (1994-96). Mr. Morkner holds a BS in Mechanical Engineering (1961) and MBA in Finance (1962) from the University of Copenhagen.
Kenneth D. David
is a Director of the Company and Trustee of the FairShare CyberTrust. For the past five years, he has been a private consultant for firms such as Hughes Communications, Co., Inc., and CWB International, LLC. Previously, he served 14 years as District Judge for the Fourteenth Judicial District of Kansas, the last four years as Chief Administrative Judge. He has additional experience as a prosecutor (winning 418 out of 424 cases) and as a practicing attorney. Judge David worked more than 12 years for Boeing Airplane Company in a number of roles involving management of more than $430 million in government contracts. He has also served as executive vice president, chief legal counsel and director of sales, marketing and new product design for Fiberglass Corporation of America. Judge David was appointed by United States Senator Robert Dole to serve on the Job Corps Selection Committee and also appointed by the Kansas Supreme Court to teach new judges "how to be judges". With over 650 speeches and lectures to his credit, Judge David is an experienced public speaker on stage, television and radio with some video-taped lectures still in use at the college level. Judge David also serves on the board of Earth Scientists, Ltd. and is a graduate of Washburn University where he received his JD (1968) and BBA (1966) in Business, Economics and Marketing.
CyberTrust Trustees:
John G. Wilson
is a Trustee of the FairShare CyberTrust, and the developer, acting both as an individual and as the principal of The Wilson Foundation (TWF), has worked for more than twenty five years to develop many of the Company's capital concepts and programs. TWF seeks to advance the ideals of an innovative economic theory involving the creation and funding of new ideas, technologies and industries through the organization of large numbers of investment clubs and individual investors who systematically invest small amounts of money into new ventures developed specifically for their participation. Mr. Wilson has authored publications dealing with Democratic Capitalism and related topics. Mr. Wilson has thirty years experience working on special projects, mergers, acquisitions and private/public financing programs for start-up and development stage companies as varied as Trans-National Petroleum (1983) (oil & gas), Performance Resources (incentives & awards) (1984-85) and Zapit Technology (environmental) and IntraOp, Inc. (medical technology) (1992-95), Electronic Mortgage Banc, Ltd (mortgage banking), LandBank, Inc. (remediation properties) and Interactive Television, Inc. (interactive game Jeopardy) (1995) and Quiecor, Inc. (medical heart therapy) (1997). Mr. Wilson was the founder of Alliance Network, Inc. which, in 1983, teamed with IBM Information Networks to evaluate implementation of many of the Company's programs.
Joseph D. Shultz
is a special consultant to the Company and a Trustee of the FairShare CyberTrust. Mr. Shultz has been an employee of the Texas Department of Criminal Justice, Pardons and Paroles Division in the capacity of a Parole Officer since 1985. He also served as an Associate Professor at the University of LaVern in Fairbanks, Alaska, and has been a substitute teacher for the San Antonio Independent School District. During a career of 21 years with the US Air Force, Mr. Shultz performed duties with the Neuropsychiatry Branch. He holds a M.Ed. in general counseling and a BS degree in social work from Our Lady of the Lake University.
