ELGT Signs Letter of Intent to Merge With Nutritional Supplements Companies

DALLAS, Dec. 8 /PRNewswire/ -- Electric & Gas Technology, Inc. ELGT announced today a Letter of Intent has been executed regarding a major diversification of the Company that could result in a change of control and a substantial increase in ELGT stockholders' equity if the transaction is consummated. The proposed transaction will be in the form of a merger through an exchange of common stock with two privately owned sister companies known as The New Algae Company, Inc. and The New Earth Company, Inc. that have been manufacturing and distributing Super Blue Green(R) Algae nutritional supplement products for 17 years.

The proposed transaction will be in the form of a merger through an exchange of common stock with two privately owned sister companies known as The New Algae Company, Inc. and The New Earth Company, Inc. that have been manufacturing and distributing Super Blue Green(R) Algae nutritional supplement products for 17 years.

Both parties have authorized their respective attorneys to prepare immediately a definitive merger agreement for execution during December 1998 which will require shareholders approval.
