First, EchoStar, News Corp. and MCI WorldCom announced an agreement providing EchoStar with satellite assets owned by the other two. Included in the purchase: a digital satellite broadcasting license, two new Loral satellites, a direct broadcast uplink center in Arizona, a worldwide license to make and sell settop boxes, a three-year agreement to re-broadcast Fox Network local signals back into their own markets, and a promise to carry the Fox News Channel on the DISH Network. This is a very big deal for EchoStar CEO Charlie Ergen, who clashed with News Corp. CEO Rupert Murdoch last year during their companies' failed merger talks, theoretically on the issue of whose encryption standards would prevail. Ergen filed a $5 billion suit at the time, which also goes away when this agreement closes. The upshot: Ergen gets just about everything he wanted in the original merger talks, without losing control of his company. The most interesting fine print: in addition to 500 channels on a national footprint, he plans to offer Internet access.
