I read this a couple of times and still do not understand it -
Does this benefit shareholders or does it primarily benefit management's job security? It reads like everyone has the same exercise rights regardless of the number of shares held on the specified date.

This is a typical "poison pill" plan to help ward off a hostile takeover attempt, probably a good idea in the light of the stock's performance of late and stockholders' sentiments.
