Newbridge heads south

By SUSAN TAYLOR, Ottawa Sun
Newbridge Networks won a deal yesterday to supply equipment for South America's first high-speed ATM network and another to expand Columbian networks.

The value of the deals weren't disclosed, but the markets did not respond favourably. The stock fell 60cents on the TSE to close at $46 and 25cents on the NYSE to end at $29.88.

"They're in the realm of 'nice to have' ones, but don't change anyone's opinion of them (Newbridge)," said Mark Lucey, an analyst and managing director at Kearns Capital Ltd.

The deal with Impsat in Columbia is for time division multiplexer equipment, an older line of Newbridge gear. Impsat plans to invest $3 billion in the next five years in its Latin American operations.

Newbridge's sale to the Cooperative de Telecommunicaciones de Santa Cruz, a Bolivian telecommunications firm, is for newer asynchronous mode transfer technology.

The network will supply customers -- including financial and health care institutions, other telcos, and retail and utility firms -- access to voice and data services they can deliver to more than 1 million Santa Cruz residents.

Newbridge Networks Sells Ownership Stake in Cambrian Systems
Corporation

Newbridge Maintains Full Access to Cambrian DWDM Technology
and Realizes Significant Value to Newbridge Shareholders

KANATA, Ontario, December 9, 1998 – Newbridge Networks
(NYSE: NN; TSE: NNC) today announced it has agreed to sell
its approximately 40 percent ownership position in Cambrian
Systems Corporation to Nortel Networks. The transaction
values Cambrian at up to US$300 million. The existing OEM
agreement between Newbridge and Cambrian will continue under
Nortel's ownership of Cambrian to ensure Newbridge has
access to Cambrian's dense wave division multiplexing (DWDM)
products.

"Our relationship with Cambrian over the past couple of
years has enabled us to take the lead in integrating DWDM
technology into our multi-services ATM platform," said Alan
Lutz, President and Chief Operating Officer, Newbridge
Networks. "Our agreement with Nortel Networks ensures that
our customers' requirements for an integrated DWDM-ATM
solution will continue to be met and at the same time allows
Newbridge to consider the DWDM technologies of other vendors
for Newbridge® distributed ATM solutions."

Newbridge was the first vendor to demonstrate an integrated
DWDM-ATM solution designed specifically for metropolitan
area networks (MANs) when it unveiled the product in October
at Networld+Interop in Atlanta, Georgia. The scalable,
cost-effective solution combines DWDM-based transport with
an ATM core infrastructure to deliver broadband services
from a seamless, fully managed platform.

Deployed on the industry-leading Siemens / Newbridge
MainStreetXpress™ 36170 MultiServices Switch, the ATM/DWDM
integrated switching and transport platform enables service
providers to maximize usage of their existing optical fiber
cable infrastructure. By integrating switching and transport
into a seamless system, service providers can simplify their
overall network architecture, enhance their network and
service management capabilities, and reduce their capital
and operational costs.

The sale of Cambrian also demonstrates the growing dynamism
and momentum of the Newbridge Affiliate program and its
focus on bringing advanced technologies to market quickly
and cost effectively while maximizing value to Newbridge and
its shareholders.

In September, Newbridge announced the sale of Advanced
Computer Communications (ACC) to Ericsson for US$285
million, a transaction that enables Newbridge to maintain
its existing business relationships with ACC, including
joint research and development programs and manufacturing
and reseller arrangements for the entire ACC product line.

"The Newbridge Affiliate program enables the Newbridge
family of companies to develop a comprehensive array of
complementary products and technologies that provide total
networking solutions to our customers," said Mr. Lutz. "The
program and our commitment to it will continue to expand.
The proceeds from this transaction bring the ability for
even greater flexibility to the program."

Newbridge Networks designs, manufactures, markets and
services networking solutions to organizations in more than
100 countries. The Company leverages its relationship with a
growing family of Affiliate companies and strategic
alliances with Siemens and 3Com Corporation to deliver
seamless, end-to-end solutions. Newbridge customers include
the world's 300 largest telecommunications service providers
and more than
10,000 corporations, government organizations and other
institutions. Founded in 1986,
the Company employs more than 6,000 people on five
continents. News and information are available at
