Can someone with an Edgar subscription post PAIR's 8A (Report of Unscheduled Event) and SC13G/A (Amended Ownership) filed today on this board? www.sec.gov doesn't have it online yet. Curious to read about the "unscheduled event" and who owns a large chunk of PAIR beside Jay.

<<If you are correct then it looks like PAIR just stated that all potential offers begin at $55 a share.>>

Actually, any HOSTILE takeover bid would require about $140/share due to the $110 Series A valuation on such an event. Granted, the firm undertaking the LBO would get back $55 plus market valuation of PAIR upon successful implementation of thier takeover. The $55 is additional premium that goes to owners of Series A shares.

<<So we could throw any possibility of a takeover out the window.>>

My read relates only to a HOSTILE takeover. The last sentence of the press release is of greatest interest: "The Rights will not prevent a takeover attempt, but should encourage anyone seeking to acquire the Company to negotiate with the Board prior to attempting a takeover."
