You are right Earl. Jon's common stock is restricted and doesn't become tradable until June or July '99. After that he can only sell 1% per quarter. I believe he owns 40% of the common. He also owns a ton of preferred stock that doesn't trade but the voting rights for this stock essentially guarantees him control of the company. He's a smart man to make his life simpler. No committee decisions to slow things down, get in the way, or other decision makers to blame if things don't go well. This is Jon's baby - streamlined for success if he plays his cards right. As I said before, he has every incentive to maximize the value of the company.
