I'm no expert, but I've had similar plans explained to me in the past.
The bottom line is that it protects the company from being taken out at this depressed level, which is good for all long-term holders of PAIR stock, including the executives and other employees who hold options on the purchase of stock as part of their compensation.

All you have to do is pose the question to the long time Pair shareholders if even $16 sounds good to them. Those that believe HDSL is not dead yet, that Hdsl-2 is worth some real profitable business, that AVIDIA can make it in the ADSL arena, that Falcon has a life beyond the labs, They can tell you whether they would be happy with prices seen just 4 months ago!

The pill makes it difficult to swoop this co. into a technology portfolio
for cheap $. But it doesn't prevent the co. from a good deal and it buys time for ADSL to ramp up and HDSL to stabilize.

As a sidenote to the HDSL loss to ADTN -- it sure helped their earnings this quarter! They didn't buy a profit with the lowball price,
they bought survival in that market. When their next gen product bommbs out, we'll see where they lay... probably pretty close to PAIR's stock price in '99
