Yogen Fruz holds 12.89 pct Eskimo Pie stake

Reuters Story - December 10, 1998 20:00

WASHINGTON, Dec 10 (Reuters) - Yogen Fruz World-Wide Inc said Thursday it held a 12.89 percent stake, or 445,700
common shares, of Eskimo Pie Corp .

In a filing with the Securities and Exchange Commission, Yogen Fruz, an Ontario, Canada-based company that franchises
chains such as I Can't Believe It's Yogurt and Swensen's Ice Cream, said it bought the shares December 2-9 at prices ranging
from $12.9375-$13.375 per share.

The largest one-day purchase in that period was 263,500 shares bought in a private transaction on December 4 for $13 a
share.

Earlier this month, Richmond, Va.-based Eskimo Pie, which invented the ice cream bar that bars its name, said its directors had
rejected a sweetened takeover proposal of $13 per share from Yogen Fruz.

Eskimo Pie said the unsolicited new offer was inadequate. It also rejected a $10.25 per share offer from Yogen Fruz in
November.

Yogen Fruz said in its SEC filing it acquired the stock with a view toward acquiring control of, and ultimately the entire equity
interest in, Eskimo Pie, and/or effecting a change in Eskimo Pie's board of directors to facilitate the acquisition.
