The preferred shares were designed to attract investors who are more risk averse. They have an appreciation cap, are guaranteed not to be worth less than purchase price and pay dividends, I believe. More for the retired investor wanting more certainty than the long-term growth investor.

The preferred have a price appreciation cap, so are less valuable in an appreciative environment.
