As I have stated before, these rumors have been swirling for a long time.

Several years in fact. With the TCI deal in hand, the speculation increases of AT&T doing a deal with Time Warner to increase T's potential "footprint" where it can offer service since TCI's reach is limited.

The sticky wicket in the whole deal, and why it is taking so long, is that US West (an ILEC that derives huge revenues from AT&T for access fees) owns 25% of Time Warner Entertainment. TWE is the unit that encompasses Time Warner Cable which would be involved in any deal of this kind. Until that issue is dealt with, there will be no deal.

My take on it anyway, but this was the situation when I worked for Time Warner and I have no reason to believe it has changed in the interim.
