I have a vague understanding that you can't just transfer the shares... that the transaction must be a trade through a marketmaker/exchange.

I don't know what you may be thinking of. But a US citizen may certainly sell, gift or otherwise transfer stock on their own through the Company or the Transfer Agent.

I have done it myself. many times.

I know this doesn't really make sense but that seems not infrequent with tax law.
This is not TAX law. It is USA free enterprise as guaranteed by our Constitution.
