VENTURA, Calif., Dec. 14 /PRNewswire/ -- The Med-Design Corporation (Nasdaq: MEDC - news), designer and developer of safety medical needle products, announced today that it has signed multi-product licensing, option and equity agreements with Becton Dickinson and Company (NYSE: BDX - news), a leading Franklin Lakes, New Jersey-based global medical technology company.

These agreements, which will provide Med-Design with a multi-million dollar up-front payment plus continuing royalties, grant Becton Dickinson the exclusive worldwide rights for applications of the Company's proprietary technology in certain defined fields of use.

In addition, Becton Dickinson is making a $1.5 million equity investment in Med-Design through the purchase of 300,000 shares of Convertible Preferred Stock, convertible into Med-Design's common shares at $5.00 per share. Becton Dickinson will be entitled to one seat on Med-Design's Board of Directors.

In addition to the products that are the subject of this agreement, Med-Design has a number of other applications of its retractable safety needle technology which are designed to enable health care workers to perform a wide range of medical procedures involving medication injection, infusion and fluid collection at greatly reduced exposure to accidental needle stick injuries. To date, Med-Design has 21 product applications in various stages of development using its retractable needle technology, and holds many U.S. and international patents and patents pending on safety needle devices designed to reduce the incidence of accidental needle stick injuries.
