It's not yet clear how the spinoff will affect IDTC shareholders. Jonas talked a little about offering shares of Net2Phone, should they decide to do an IPO, to current IDT shareholders. Whatever it is, it will be beneficial.

Part of the problem is that the Street can't make up its mind about whether to classify the company as a telecom company or an internet company. It's a hard fence to straddle. They are doing the right thing by spinning it off. My guess is that it will take place within the first quarter of calendar 1999 (note that Howie Balter, the CFO and long-time brains behind the operations, couldn't attend the annual meeting yesterday because he was in negotiations with underwriters for the spinoff), if not sooner.

On another note of interest, IDT now has its own portal that went up yesterday. Check it out at

myspaceonline.com\webserver\oasis.com\upgrade\download\idt\index.mph&1&none&idt2&1&1&

or, if that doesn't work, go to the main site at

idt.net

scroll toward the bottom, and click the "MySpaceOnline" button.

They have developed extremely interesting software that uses a 3D, city metaphor to navigate the Web. You "rent an apartment" by registering at the site. It's innovative; I haven't seen anything like it. You also choose your "block" where you want to live (i.e., books, gardening, investing, sports, etc.). When you look out your window in your apartment, you're surrounded by links related to your area of interest (the books block has some very interesting links to authors' websites, publishing info, online bookstores, etc.)

They haven't even announced this yet. My bet is that we'll see some news on it tomorrow. It's possible that we'll see a nice pop when it comes out. This could be very big.
