-- Envoy Corp. agreed to be acquired by Quintiles Transnational Corp.
in a stock swap worth $57.72 per share to Envoy shareholders at the
current price of Quintiles ($49.50-QTRN). The ratio is 1.166 shares of
Quintiles stock for each share to Envoy. Envoy Corp. stock currently
is up $9.875 to $52.125 on the news.

-- Quintiles has signed a definitive agreement to buy Envoy. The
Company does not expect any antitrust issues to occur since Quintiles
and Envoy are in different businesses and do not compete with one
another. There are collars and walk-away provisions in the event of a
significant change in market conditions.

-- Quintiles expects the deal to be non-dilutive and therefore expects
to continue to reach the consensus street EPS estimates of $1.38-$1.40
in 1999.
