Here is the one form Bushnell. The other is from CFO.....

"I am enormously gratified at the progress we have made in all areas of the Company's
operation during this quarter. In the area of product development, we have completed and are
shipping T1/PRI to our domestic customers. This advanced technical interface enables our
billing systems to authenticate customers based on their "calling party identification" as
transmitted by the phone companies PRI lines. This functionality eliminates the need to enter a
14 digit user PIN number when making phone calls over a Tempest based network.
Additionally, this month we are shipping our first E1 systems for International market
development.

On the sales front, we are entering 1999 and our third quarter with a backlog greater than the
number of systems shipped during this quarter. We continue to expand our market coverage
through the addition of new marketing representatives and value-added resellers. Our
International coverage is also expanding.

During this last quarter we have also expanded our offerings to include Network design,
management and installation. In fact, as I write this update, our team is installing a four-city
network that will go operational on Jan 1, 1999 and will also interconnect with the FNET
network to handle this customer's off net access. This represents our first successful turn-key
network delivery and signals the start of a new revenue line for FTEL as we have been
contracted to operate this network for the next year!

I continue to view the market opportunity and the prospects for continued success, with great
optimism. We are expanding our agenda, broadening our horizons and marching boldly into
the brave new world of Internet Telephony! "

Regards,

Peter S. Buswell, President & COO
