By allowing another company to "roll" up onto the public market through a spin-off is a VERY progressive form of "going public", makes S-1 registration a breeze. The oil company in question is privately held and we won't get any info on it, IMHO, until she comes public, but I will try to get in touch with Loflin over the weekend and report my findings here.

KEEP THIS IN MIND...there are 400,000 shares being distributed to the share holders of record, but one can only imagine that the treasury of Internet Media will be holding, or is holding, a large amount of stock in the new entity, which will be freely tradable, and once liquid will begin to provide the neccessary capital for corporate expansion.

This Loflin guy is very asstute, and I must say I like his Sytle...he makes my PHATTEST MAN OF THE YEAR list...to be published just after the new year...watch phor it at an internet stock thread near you!!!

I'd never heard of a private company going public in this manner till you pointed it out. What a great vehicle! And now I understand Phatt Jake's earlier allusions (and those that follow) to USRF's probably holding way more than 400K shares for subsequent sales.....what a novel form of corporate financing! If, as Paul Harvey would say, "This is the rest of the story" behind the announcement, well, then I sure have a red face!
