I'm not a tax expert, but you are still holding the 'asset'.

The tax event occurs upon disposition of that asset.

Don't know about the second part of your questions, but I wouldn't put too much value in a shell. Yes, you would own shares in the new company. I did this earlier when ICVI was a shell bought by MTEI. Huge scam -- and that is not just me talking sour grapes. Go over to the MTEI thread and check it out. Company put out false PRs and more.

I wouldn't plan on getting anything from your MTCI shares except a loss -- ever.
