Bret,

There is also an update in the Chairman's Section. Here it is:
Dear Shareholder or Franklin Visitor:

--------------------------------------------------------------------------------
December 21, 1998
Tempest & DVG orders continue to grow. We expect sales for the quarter ending December 31, 1998 to exceed the previous quarter.

Last week we settled the 2 year old AT&T suit. I can not express to you how pleased I am that this is over and done with.

In order to simplify and clarify certain statements in our S1 I have agreed to consolidate all debts, defer repayment, remove the discounted stock conversion feature, eliminate any future interest charges and remove the security in Franklin's assets by filing a UCC2.

FNet Corp. has been working with Sutro & Co. in an effort to raise capital for FNet through a private placement. With the Revenue growth FNet has displayed, new opportunities from the financing front are presenting themselves. These new opportunities are being considered to augment any investment so as to seek the highest share price and to minimize dilution for our shareholders.
