(COMTEX) B: NP ENERGY AGREES TO ACQUISITION BID BY DUKE ENERGY UNIT B: NP ENERGY AGREES TO ACQUISITION BID BY DUKE ENERGY UNIT LOUISVILLE, Ky., Dec. 21 /PRNewswire/ -- NP Energy Inc., one of the industry's fastest growing energy marketing companies, will be acquired by Duke Energy Trading and Marketing in a transaction that recognizes the significant value that exists in NP Energy's power projects and marketing arrangements. NP Energy was founded in early 1997 by two leading energy marketing executives. The agreement calls for Duke Energy Trading and Marketing L.L.C. to acquire all ownership interest in NP Energy, including interests held by National Power of America and by an employee group. Duke will receive NP Energy's portfolio of marketing agreements and major projects under development. Duke will make a cash payment at closing and additional payments at a later date based on the progress of major power projects in NP Energy's portfolio. Closing of the sale is expected by the first quarter of 1999 pending approval by the Federal Energy Regulatory Commission and other governmental reviews. "Scale and considerable credit backing have become critically important in the energy marketing industry, so Duke Energy's resources and their track record for innovation make this a logical step for both parties," said NP Energy co-founder and Chief Executive Officer Ed Casey. Within its first year of operation, NP Energy was ranked 16th among all power marketers nationwide. Third quarter 1998 sales volume reached 14 million MWhs. The company's risk management and project development efforts include marketing agreements with Big Rivers Electric Corporation and several other power cooperatives, a planned 325-megawatt waste coal repowering project with Ohio National Energy and a planned 650-megawatt merchant plant in Kingman, AZ, being developed by PP&L Global, an affiliate of Pennsylvania Power & Light.
