Why buy MAT when you can buy TLC and get MAT at a discount?

If MAT is below 27, TLC holders get 1.2 shares of MAT for
every share of TLC if and when the merger is completed.

Current price of MAT: 22 1/4
Price of 1.2 of MAT: 26 11/16
Current price of TLC 24 3/8

26 11/16 divided by 24 3/8 is 1.09, so you can get 9% more
MAT for your money by buying TLC.

Don't ask me the reason for the difference. I don't know.
The market is calculating some further loss of MAT price
into the TLC price perhaps. It can hardly be a fear that
the merger won't be approved, since the merger news is
what dragged down TLC's price from the 27 range.
