I managed to track down the story from the G&M; but since I'm not up to date (have no idea) as to what the deal is all about I would leave that analysis to the others more familiar with the story. Search by typing in Lava. The actual link to the article gave too much gibberish:

That being said, from what little I know about how these deals work, I would SPECULATE, that the company declared that they were bankrupt. The liquidators tracked down Open Text (fresh from their run at PC Docs) who are full of cash and shopping for a bargain. Only time will tell if the shareholders will get anything or even if the primary creditors will; it does not spell it out in the article.
