Sales of substantial amounts of the Company's Common Stock in the public market after any conversion of the 8% Convertible Debentures into shares of the Company's Common Stock and any registration of such shares could adversely affect prevailing market prices for the Common Stock. Such shares of Common Stock will be freely tradeable without restriction in the public market. As a consequence, the ability of the Company to raise any additional financing which may be needed by the Company or the ability to raise such additional financing on terms acceptable to the Company may be adversely affected.


Nice try, but this section clearly needs to be here for purposes of shares resulting from the last $2.5 million tranche plus any remaining shares not yet converted from the earlier $2.5 million. I still see nothing in this or any other section that demonstrates that the 1.8 million shares resulting from the first half of the convertible debentures are not registered. I do thank you for posting this section since it provides direct and succinct evidence that the resulting shares are free trading: "Such shares of Common Stock will be freely tradeable without restriction in the public market." However, as I have already noted, I see nothing in the quoted section which addresses any of the points I raised in #reply-6992652. I would be particularly interested in any comment you might make as to why the company (under your scenario that the shares remain unregistered) is avoiding its obligation to register the shares. Are you accusing the company of an unethical act? <g> And do you really imagine the debenture holders would sit still for this? In point of fact I believe the company has taken the necessary steps to register the 1.8 million shares as described in my post. Barring any documented evidence of non registration, your position IMO is wishful thinking.
