Platinum Software Soars 15% Ahead Of Acquisition Of DataWorks

BUENA PARK, Calif. -(Dow Jones)- Shares of Platinum Software Corp.
and Dataworks Corp. rose 15% and 14%, respectively, Monday as the
pending completion of their combination attracted investor interest.
Platinum Software signed an agreement in October to acquire
DataWorks, another vendor of business-applications software for midsize
companies, for about $93 million in stock. The acquisition is expected
to be completed this week.
Shares Platinum (PSQL), based in Irvine, Calif., Monday jumped $1.563
to $11.75 on Nasdaq volume of 1.3 million shares, compared with average
daily volume of 573,000. Shares of DataWorks (DWRX), based in San Diego,
gained $1.031 to $9.063 on Nasdaq volume of 727,300 shares, compared
with average daily volume of 175,500.
Each company's shares rose by a smaller amount in Thursday's session,
after the companies announced late Wednesday that their shareholders had
approved the acquisition. Platinum had agreed to issue 11.5 million
shares, or to trade 0.794 share of its stock for each share of
DataWorks. The combined company, with a market capitalization of around
$330 million, will have more than 10,000 customers and plans to target
medium-size companies with revenue of $500 million or less, Platinum
said. With the acquisition, Platinum will have 2,000 employees and will
operate in the U.S and 30 foreign countries.
As the merger completion nears, "we've been getting more inquiries"
from investors on the combined entity, said James Pickrel, an analyst
for Hambrecht & Quist who follows Platinum Software.
Pickrel rates Platinum a "hold" pending receipt of more detail on its
post-acquisition plans relative to product lines, headcount and the
general rationalization of the two companies. He expects these details
to be revealed in early January.
"We've been feeling pretty good about the core Platinum software
business," Pickrel said. "Removing some of the uncertainty is probably
going to be a positive factor in itself."

Ira, PSQL did not surpass the 12 range, but still encouraging... today marked the third consecutive day with above average volume... today's action was noteworthy, with a nice recovery after a stalled selloff on strong volume... closing was at the day's high... next week might see us in the 13's
