KLAC buys Ultrapoint from UNPH

SAN JOSE, Calif.--(BUSINESS WIRE)--Jan. 7, 1999--KLA-Tencor Corporation (Nasdaq:KLAC) and Uniphase Corporation (Nasdaq:UNPH) today announced that KLA-Tencor has acquired the assets of the Ultrapointe subsidiary of Uniphase.

The acquired assets include intellectual property, patents and inventory for the Confocal laser Review Station (CRS) product, which is used to analyze defects on silicon wafers during the semiconductor manufacturing process.

Terms of the agreement were not disclosed, although Uniphase anticipates recognizing a non-recurring charge on the disposition of these assets of $3 million in the quarter ended Dec. 31, 1998.

Under prior agreements, KLA-Tencor has served as the exclusive OEM reseller for the Ultrapointe CRS since 1995. "The CRS has been the market leader in optical defect review for the past two years. Bringing the system directly into our product portfolio will allow us to better focus our resources in supporting CRS customers worldwide," said Scott Landstrom, vice president and general manager of the Defect Review and Classification division of KLA-Tencor.

"We will now be better positioned to link the CRS with our family of other leading wafer inspection products, including the IMPACT automatic defect classification (ADC) technology, which has already been adopted by 18 of the top 20 semiconductor manufacturers worldwide."
