Bernard, I could not find the S-3, and the 8-K is extremely long, the real facts seems to be well hidden. You need to find what is the ceiling (200% of the price prevailing at the close of the transaction), a neat trick to induce management by whispering in their ear "look we are going to convert at twice the current price, and we will have a bargain because the stock will be at new highs", I can hear them drinking their Lafitte and laughing, yah, if it ever gets above $4.
