>>>In short, don't count on receiving those dividends that are in arrears! The preliminary proxy that was filed requires the dividends to be paid, but it also requires that the merger be consummated before January 1, 1999, which will obviously not occur. The actual merger proxy may well differ markedly from the preliminary one filed some two months ago.

Of course, it is also entirely possible that the dividends will accrue, and be entirely paid out! Stranger things have happened. :-)<<<<

ED, ON Nov 25 I received dividends on 2500 shares of ROTIP I got 1,090 Shares of ROTI and a few days later 436 shares of ROTI, so I think all dividends have been paid and they are current.

I don't believe that such a vote is possible. In my experience, preferred share rights are contractual, and can only be revised by vote if that was provided for when the preferred was issued. I've fine tooth-combed everything ever said about the preferred, and there is no reference to the ability to vote to revise its terms. I don't think an attempt of the type you describe would be worth the lawsuits it would attract.
