Any reason to use the more expensive of the two?

Planning on an OC'd celeron on an abit motherboard.

I am assuming the 16x64 memory is more than adequate.

Please advise.

I am unclear if you are asking why NT or why NT5?

I can think of answers to both, IMO compelling answers. In a nutshell NT has what 95/98 lacks, stability and security. And NT5 has what NT4 lacks, as Emory stated, better dynamic resource allocation, improved system management interface, and more as well.
