Repadre Capital and Golden Knight Resources have agreed to a
business combination pursuant to which members of Golden
Knight will be offered either: a combination of 0.125 shares
of Repadre and cash of 33 cents; or a combination of 0.20
shares of Repadre, 0.20 of a warrant, each whole warrant
entitling the holder to subscribe for one additional share of
Repadre at $4.00 at any time until the date that is 36 months
from the effective date of the business combination, and cash
of 10 cents.
The business combination will be completed pursuant to a
statutory plan of arrangement. The arrangement is subject to
finalization of formal documentation, legal, regulatory and
court approval, GKR member approval and satisfactory due
diligence. Both companies expect due diligence to be complete
on or before Feb. 9, 1999.
Teck Corporation, which holds approximately 24.5 per cent of
the votes attached to GKR's outstanding shares, has agreed to
vote in favour of the recommendation of the board of
directors of GKR.
The business combination will bring together RPD's strong
balance sheet and royalty portfolio with GKR's 17.5 per cent
interest in the 13 million ounce resource Tarkwa project and
its various other property interests in Africa and Canada.
Going forward the combined entity will continue to focus on
royalty opportunities on a global basis.
