I think this is standard procedures for tax purposes. Don't ask me to explain it, but when HRB spun off CompuServe, they first spun off 20% and stated that they would spin off the other 80% CSRV within one year. CSRV took a big hit and HRB ended-up selling out to WCOM. But in terms of the 20-80 spin off, I think it is for tax purposes.
