This has got to be one of the best conference calls I have ever been on! Some of the things mentioned in the early part of the call are, 1.Partnered with and working closely with Sunmicrosystem and Intel. 2. have 34 patent claims, 3. after large markets with aggrigate 20 billion dollars, 4. out of R & D stage, 5. WebZinger search engine and super search software with child lock built in. Too much info to list here but this is just the tip of the Iceberg for what they are announcing. Hopefully they will be rebrodcasting the call. Bought this one for a short pop up, but will be holding long term (3-5 yrs.) Growth potential is amazing. Should be press releases following Conf. call

Conf Call Synopsis

Here is my synopsis of the IMON conference call on 1-7-99 at 5pm EST. This is MY SYNOPSIS ONLY--it's not word-for-word, but it is comprehensive on the big points.

Henry Fong, Chairman of ImaginOn
-introduced David Schwartz
-mentioned Schwartz's/ImaginOn's patents purchased from Atari (Schwartz's previous employer)

David Schwartz, Pres of ImaginOn
-spoke mainly about relationships of getting input from Sun and Intel

Sun
-Sun is mainly interested in the e-commerce capabilities of ImaginOn's software
-Sun convinced ImaginOn to switch from a C++ programming environment to a JAVA environment (my interjection: this is good because Java is cross-platform, meaning it works on any kind of computer)

Intel
-spoke mainly about interactive television, new chips coming out, how ImaginOn software is already written to work on future chips not available yet
-Intel has put ImaginOn in Intel's booth at exhibitions

Schwartz then spoke about individual ImaginOn products
-Webzinger family of web robot products (emphasized usefulness of inherent filtering ability for children)
-WorldCities 2000 (next generation of travel planner; has its own browser for seamless web integration of video and up-to-the-minute, real-time information)
-SellOnStream (e-commerce version of WorldCities 2000; the represented business puts its OWN video onto the CD-ROM)

Explained the acquisition of INow, an Internet Service Provider in the Bay Area
-helpful to have own servers directly connected to the Internet for continuous use of WebZinger, etc.

Introduced Will Clarin (sp?), President of INow
-said he is excited about the new merger and he believes in the potential of ImaginOn, which is why INow accepted a large amount of the purchase price in stock.

David Schwartz then explained that he sees 3 revenue streams developing in 1999:

retail/e-sales of software (ex. webzinger, WorldCities2000)
licenses & royalties (for tools and engines)
Internet services (subscriber fees)

Paraphrased from Schwartz:
[My single goal for 1999 is to generate significant revenues.
ImaginOn is leaving the R&D mode and entering the commercial mode.]

New York and San Francisco are the first two WorldCities 2000 products, with Paris and London as next two cities, as requested by American Express, due in summer of 1999.

SellOnStream has already been contracted with a women's apparel retailer.
And, one marketing employee has been hired in NYC to work exclusively on evangelizing SellOnStream to Fortune 500 companies and major publications (ex Golf Magazine)
-good responses from NFL and NHL, as well

Schwartz then emphasized that the deal with American Express is NOT exclusive;
SellOnStream will be available elsewhere, in catalogs, in Amazon.com and on their own websites:

Robert E. Griffin is the name of the PR firm currently being used. President of this PR firm is known personally and professionally to David Schwartz.

3 people have been hired in the last few weeks for the exclusive purpose of marketing ImaginOn's products.

Current cash position with combined companies: sufficient cash for 6 months of marketing and development (according to Henry Fong); looking for other opportunities to finance the new efforts without diluting shareholder value.

When asked about the SEC documents, Fong said that "CALP" had a "going concern" problem, but that new financials for the combined companies (IMON) have not been completed; he does not expect the combined companies to have a going concern problem.

Current cash position: approx between $500,000 to $1,000,000.
Cash burn rate is about $100,000 / month.

Schwartz explained that Inow, as an ISP, will provide ImaginOn software as part of the Internet access service. This is a value-add over AOL, Mindspring, etc. available exclusively to INow subscribers.

I asked whether investors should expect a reverse split to meet NASDAQ requirements.
Mr Fong said that the compay has NO INTENTIONS to implement a reverse split.
He also said if NASDAQ listing requirements dictated it, that "would be a different story," but he also said he's been in touch with NASDAQ and even they didn't know when a merged entity would even have to be in compliance. NASDAQ would "notify" the merged entity and give them a period of time in which to reach compliance of the minimum share price.

I also asked if ImaginOn would consider giving away Webzinger to gain market share and exposure.
Mr. Schwartz explained that the 30-day demo version is already available for free download on the web site. There is no current plan to give away the s/w in any other way, mainly because he does not want to injure the relationship with ETI and their distribution of Webzinger to school systems across the nation.

The goal is to complete the merger between ImaginOn and California Pro Sports by Feb. 1st.

Sooo much technology, now they need the big $$ to take them to the next level.
I hear the trip to NY is scheduled for the week of 18th.
Also hear cash could come from strategic partner-no dillution!
I invest for the long term and this has got to be one of the best early stage companies I have seen and EVERY early stage story has cash concerns etc, etc. Schwartz is a very bright guy and Fong will raise the money. This one works big!!
