Thanks, Eric, for that response. Obviously, we could all come up with a vast range of alternatives regarding valuation of each company and their relationship to each other. I guess all we can do is sit back and wait for the attorneys and accountants to do their thing. Once these so-called "professionals" have come to some conclusion, I assume they will provide us with all of the details of their work.

Obviously, approval by Avalon's shareholders is required. If I remember correctly, management does NOT hold a controlling number of shares, so it would appear that the shareholder vote might actually mean something - that is it might not be automatic if the terms are not acceptable to current shareholders.

We shall wait and see.

BTW, I suspect those big-city attorneys charge a wee bit more than they do here in a small town on the Oregon Coast. I guess that's just one more advantage of small town living!

Good morning Eric, won't the valuation have to be determined and printed on the shareholders proxy? Assuming that's true and if we are to have 30 days to vote and assuming they mean "this" February, the valuation must be very nearly complete. Two weeks tops to allow for printing and mailing of the proxy, no?

Thanks, Jon

PS: How many shares outstanding and what's the float?
