Lawrence,

I don't think your hypothetical HTCH dialog is quite the way it would have worked. For one thing it is likely illegal. For another, it just isn't the way big blue works, whom I believe is the accelerated customer. Frankly, I thought more about dilution from the new stock issue then the issue you raised, though clearly HTCH needs money and a new issue is a better way to do it in light of recent events. <G>

Best,
Stitch

D&G Larry -

Now I'm really convinced! You're paranoid! Trust No One!

Last 8 Qs of HTCH customers($M rev):

1Q97 2Q97 3Q97 4Q97 1Q98 2Q98 3Q98 4Q98
IBM 12 15 15 11 14 19 37 56
TDK/SAE 16 16 14 24 29 30 23 28
Yamaha 16 15 17 11 10 5 15 22
SEG 43 43 24 15 22 18 18 16
RDRT 16 15 20 17 9 10 6 11

Care to venture a guess who the winners and losers are?

Lawrence,

While pumping up earnings right before an offering is a time-honored tradition, the scene you painted is highly questionable in its legality and would likely provoke SEC investigation if discovered. What you describe borders on stock manipulation and when you throw in the pending offering might actually constitute fraud. Both sides of the deal would be putting their entire careers at stake and for what? HTCH would get a few extra bucks for their offering and big blue, or whoever, would get preferential treatment for the near term. The personal risk versus the potential reward does not make it seem like a rational decision. Of course, as economists need do, we must assume a rational being. <g>

<<"Here's the deal. We'll sell you TSA at $5 per this quarter, dropping to $1 after this
quarter for the duration of your program">>
Not necessarily a bright move for the customer which takes the earnings hit this quarter and loses market cap of maybe 10 or 20 times the amount of the hit. Z
