AMERICA ONLINE'S BOARD OF DIRECTORS DECLARES TWO-FOR-ONE STOCK SPLIT

DULLES, Va.-- Oct. 27, 1998--America Online, Inc. (NYSE:AOL) today announced that its Board of Directors has voted to declare a two-for-one split of the Company's common stock.
On November 17, 1998, stockholders will receive one additional share for every share they own on the record date of November 3. Following the effective date of the split, America Online will have approximately 460 million shares outstanding.

Steve Case, Chairman and Chief Executive Officer of America Online, said: "We are delighted for our stockholders that we are able to split our common stock for the second time this year. As always, the goal is to make ownership of America Online more accessible to the average investor, so more people can participate in the future growth of our Company and the new interactive medium."

AOL's pending stock split marks its fifth as a public company since November 23, 1994. A stockholder who bought 1,000 shares for $11,500 at the Company's initial public offering on March 19, 1992 and held the stock would, after the latest split, own 32,000 shares valued at approximately $3.9 million based on current prices.

The Company also reported that, at its Annual Meeting of Stockholders on Wednesday, October 21, 1998, stockholders approved an amendment to the Company's Restated Certificate of Incorporation, increasing the authorized number of shares of common stock from 600 million to 1.8 billion.
