Rule 504 doesn't apply here I just found out.
Rule 504 applies to shares offered in addition to authorized shares.

Some loser sold BNEZ at $0.18 to $0.26(they bought earlier at $0.28 to$0.36) hope to buy back lower.

It's not smart.

BNEZ couldn't go any lower even if these guy sell 100,200 shares at the bid.

It's time for BNEZ to turnaround.

Next WEEK with PMA in STAPLES and INTERNET SALES figure out

BNEZ may see $0.50 to $1.50 soon.

even if BNEZ has 50million shares outstanding, its market cap is only
$10million, very small compared to the market of PMA.

No problemo Ellen: Here is what I have found...
Rule 504 does not apply because it pertains to shares offered outside the authorized shares. Now BNEZ can issue up to the outstanding shares that existed at the time of the R/S without any paper trail or filing whatsoever.
Another way for shares to come into the float is through sales of restricted shares as discussed previously.
At this point the only way to determine the float would be to get a writ of summary for discovery in a court filing against the company. I am not going to spend my time doing that. If anyone feels froggy enough, let them leap.

And last, regarding R/S it is my understanding the company has to do a filing with their state securities agency to do so.
