If the director was buying shares, wouldn't that be a red-flag that a buyout was NOT imminent? i.e. a director using inside information to buy stock before a buyout was announced would kinda of be a red-flag to the SEC don't you think? I would think no buys or sells for an extended period of time by insiders in the know would be more likely signal for a buyout....no?
