But seriously, is that a standard phrase for Canadian stocks? Seems bizarre, US citizens can buy the stock but you're not allowed to hear the news?

See the section titled Capitalization in the above. I'd paste it but it's in a word table format and is illegible.
After the effet of the private placement 39,524,934 shares of common and and additional 9,369,012 shares subject to options, rights and warrants are outstanding. I belive this includes options to purchace at the 1.75 per share of common as well as options excersizable at varrious strike prices (1-2/share) for employee options. All total 48,893,946 shares of common if warrants and opions are excersized for an additional 16,380,021 Canadian (using the 1.75/share ) to the company.
Typical private placement, particularly when you consider where there share price was in Oct/Nov when this was being put togeather.
