Charlie, a cash deal is worth less than stock, because a cash deal means that the deal will be considered a straight acquisition, and will subject ASND shareholders to capital gains taxes. On the other hand, those who wish to hold LU will not pay capital gains taxes if the deal is accounted for as a pooling of interests. Secondly, because the deal will most likely be a stock swap, talking in terms of billions is silly. My guess is that the deal will be around .75 - .80 shares of LU per share of ASND.

Hope all you want. LU doesn't have anywhere near this much cash, so would have to borrow it. I doubt they would saddle themselves with $15B in long term debt, when they can easily buy for stock.

IMO, LU stock will initial fall a bit. But by the time this deal closes, and the street sees that ASND makes LU a legitimate data company, LU stock will be way up, dragging the buyout price with it.

ASND holders should yield 85-100 in LU stock by closing time in 3 months or so.

Gary
