The sense in not remaining in a former shell is that any good Investment Banker likes to "control" the deal. They want to be the first to file with the SEC and to know that there are no old problems to overcome. If the merger should proceed and AVAL merge with AVAL you now have a private company not a shell. This company will then move forward. The discussion here is a useful one in that all angles can be discussed. In the final analysis it is the role of AVAL management to make the recommendations that they feel best support the company and its eventual health. This obviously benefits all shareholders.
